Terms of Service

These terms cover software development work carried out by Parthkumar Mansukhlal Vadodariya, an individual independent software developer based in Surat, Gujarat, India (referred to below as "I", "me" and "my"), for a client ("you"). They apply alongside whatever we agree in writing for a specific project; where the two differ, the project agreement wins.

The work covered

Depending on the project, the work may include web development, mobile app development, Flutter development, backend and API development, and maintenance or support of an existing application. Exactly what is included in your engagement is whatever the accepted quote or proposal for that project says — not this page.

Scope, price and dates

Before I start, we put the deliverables, the fee and the expected dates in writing. Those figures are based on the requirements as I understand them at that moment. If the requirements grow or change afterwards, the fee or the schedule may have to move too; I will raise it with you and get your agreement before carrying on.

Invoicing

Payment arrangements — an advance, milestone payments, or payment on completion — are set out in the quote for each project. Unless the written agreement says otherwise, invoices fall due on the terms stated there.

What I need from you

Most delays are waiting delays. To keep a project moving I will need content, access to the relevant systems or accounts, and decisions and sign-offs within a reasonable time. If those are slow, the schedule slips accordingly. Anything you hand me must be yours to use, and lawful.

Ownership of the work

Once a project is paid for in full, the custom code and assets I produced specifically for it are yours, unless we have agreed something different in writing. I keep the right to reuse the general experience, methods and know-how involved. Third-party and open-source components stay under their own licences, which pass to you as they are.

What I do not promise

I work to a professional standard and build to the agreed requirements. What I cannot promise is a commercial result — a particular revenue figure, visitor count, search position or growth rate — because those depend on your market, your pricing and plenty of other things that are not in my hands.

Outside services

Projects usually sit on top of other people's platforms: hosting, payment gateways, SMS providers, app stores, third-party libraries. I will integrate them properly, but their uptime, pricing, review decisions and policy changes are not something I control or carry responsibility for.

Limit on liability

So far as the law allows, whatever I may owe you in connection with a project is capped at the fees you have actually paid me for that project. Indirect losses — lost profit, lost data, lost business, loss of goodwill — are excluded.

Applicable law

Indian law governs these terms, and the courts at Surat, Gujarat, India have jurisdiction over any dispute arising from them.

I may revise these terms from time to time. The current version is always the one on this page, dated at the top; a project already underway continues under the terms agreed when it started.
